Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of the OurPlace mobile application and website (together, "the Service"). The Service is provided by PixelParty Group LTD (Company No. SC854567), a company registered in Scotland, United Kingdom ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your country) to create an account and use the Service. By using OurPlace, you confirm that you meet this age requirement.

3. Description of Service

OurPlace is a private photo-sharing platform designed for families. Users can create spaces, invite family members, and share photos within those spaces. The Service is available as a mobile app on iOS and Android and as a web application.

4. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect any unauthorised use of your account.

You may sign in using email (magic link), Google, or Apple authentication. We do not store passwords.

5. Content Ownership & Licence

You retain full ownership of any photos and content you upload to OurPlace. We do not claim any intellectual property rights over your content.

By uploading content, you grant OurPlace a limited, non-exclusive, royalty-free licence to store, process, display, and transmit that content to members of your spaces as part of providing the Service. This licence includes the right to create resized versions (thumbnails and previews) for performance purposes. This licence terminates when you delete the content or your account.

You are responsible for ensuring you have the right to share any content you upload. Do not upload content that belongs to someone else without their permission.

6. Subscriptions & Auto-Renewal

OurPlace offers optional auto-renewable subscriptions under the OurPlace Premium subscription group. The following plans are currently available:

  • Family+ Monthly — billed monthly
  • Family+ Annual — billed annually

Prices are displayed in your local currency within the app before purchase. Approximate base prices are £6.99/month and £59.99/year, though actual prices may vary by region and currency as determined by the App Store or Google Play.

6.1 Free Trial

Eligible subscribers may receive a 7-day free trial. The trial begins when you confirm the subscription in the App Store or Google Play. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription. Free trial eligibility is limited to one per Apple ID or Google account.

6.2 Billing & Renewal

Payment is charged to your Apple ID or Google Play account at confirmation of purchase (or at the end of the free trial period, if applicable). Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price.

6.3 Managing & Cancelling

You can manage or cancel your subscription at any time:

  • iOS: Settings > [Your Name] > Subscriptions
  • Android: Google Play Store > Subscriptions

Cancellation takes effect at the end of the current billing period — you will retain access to premium features until then. No refunds are provided for any unused portion of the current subscription period. Deleting the app does not cancel your subscription; you must cancel through your device settings as described above.

6.4 Price Changes

We may change subscription prices from time to time. Any price change will take effect at the start of the next billing period following notice. The App Store and Google Play will notify you of price changes in advance as required by their policies.

7. Acceptable Use

You agree not to:

  • Upload content that is illegal, harmful, abusive, hateful, or violates the rights of others
  • Upload content depicting the exploitation or abuse of minors
  • Attempt to gain unauthorised access to other users' spaces, accounts, or data
  • Use the Service for any commercial purpose without our prior written consent
  • Interfere with, disrupt, or place an unreasonable burden on the Service's infrastructure
  • Use automated scripts, bots, or scrapers to access the Service
  • Circumvent any access controls, security measures, or usage limits

We reserve the right to remove content and suspend or terminate accounts that violate these terms, without prior notice where necessary.

8. Space Management

Space owners and co-hosts are responsible for managing membership and content within their spaces. This includes the ability to approve or deny join requests, remove members, moderate uploads, and enable approval controls for incoming photos.

If a space owner deletes their account, all spaces they own — including all photos and member associations within those spaces — will be permanently deleted.

9. Intellectual Property

The OurPlace app, website, branding, design, and underlying code are the intellectual property of PixelParty Group LTD. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service, except as expressly permitted by applicable law.

10. Account Deletion

You may delete your account at any time from the app's Settings screen. Account deletion is permanent and will:

  • Delete your user profile and all personal data from our systems
  • Delete all spaces you own, including all photos and member associations within those spaces
  • Remove you from any spaces where you are a contributor
  • Delete your push notification tokens and subscription records

Account deletion does not cancel an active subscription — you must cancel your subscription separately through your device settings before deleting your account (see Section 6.3).

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. Where reasonably possible, we will provide advance notice.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. You are responsible for maintaining your own backups of any content you upload.

13. Limitation of Liability

To the maximum extent permitted by applicable law, PixelParty Group LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £50, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless PixelParty Group LTD, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Scotland. Any disputes arising from or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Scotland, without prejudice to any mandatory consumer protection rights in your country of residence.

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. The "Last updated" date at the top of this page will always reflect the most recent revision. Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Apple App Store — Additional Terms

The following additional terms apply when you access the Service through the Apple App Store. These terms are required by Apple and supplement the rest of this agreement.

18.1 Acknowledgement

You and PixelParty Group LTD acknowledge that these Terms are concluded between you and PixelParty Group LTD only, and not with Apple Inc. ("Apple"). PixelParty Group LTD, not Apple, is solely responsible for the OurPlace application ("Licensed Application") and its content. These Terms do not provide for usage rules that conflict with the Apple Media Services Terms and Conditions as of the effective date.

18.2 Scope of Licence

The licence granted to you for the Licensed Application is limited to a non-transferable licence to use the Licensed Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

18.3 Maintenance and Support

PixelParty Group LTD is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in these Terms or as required under applicable law. You and PixelParty Group LTD acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

18.4 Warranty

PixelParty Group LTD is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be PixelParty Group LTD's sole responsibility.

18.5 Product Claims

You and PixelParty Group LTD acknowledge that PixelParty Group LTD, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. These Terms do not limit PixelParty Group LTD's liability to you beyond what is permitted by applicable law.

18.6 Intellectual Property Claims

You and PixelParty Group LTD acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, PixelParty Group LTD, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.

18.7 Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

18.8 Third-Party Terms of Agreement

You agree to comply with all applicable third-party terms of agreement when using the Licensed Application. For example, you must not violate the terms of your wireless data service agreement when using the Licensed Application.

18.9 Third-Party Beneficiary

You and PixelParty Group LTD acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PixelParty Group LTD regarding the Service, and supersede any prior agreements or understandings.
